Commercial Counsel
About the Role
You will own commercial contracting and scale the company's contract processes. You will draft, negotiate, and review MSAs, software licenses, SLAs, NDAs, and vendor agreements. You will manage the contract lifecycle from intake to execution, build playbooks and templates, and advise on IP, privacy, and compliance. You will operationalize legal workflows across business teams and support broader corporate matters such as equity plan administration and employment issues.
Requirements
- 3+ years of commercial law experience at a reputable law firm; in-house experience strongly preferred
- Strong background in commercial contracts with ability to independently lead negotiations
- Excellent drafting negotiation and communication skills
- Familiarity with crypto and willingness to deepen crypto knowledge
- Ability to operate independently in a dynamic environment while maintaining cross-functional alignment
- Licensed to practice law in at least one U.S. state; JD or LLM from a reputable U.S. law school
- Preferred experience advising crypto or Web 3 projects
- Preferred prior in-house counsel role at a growth-stage startup
- Preferred familiarity with evolving crypto regulation

- Advise on deal structures IP privacy and compliance issues
- Operationalize legal work across Leadership BD GTM Operations and Product
- Support corporate matters including equity plan administration and employment issues
