Corporate Counsel – Real Estate

About the Role

You will provide hands-on legal support for property acquisitions, site due diligence, entitlements, permitting, zoning, title and survey review, commercial leasing, easements, and development agreements. You will draft and negotiate real estate contracts, coordinate with outside counsel and consultants, advise internal stakeholders on property rights and site-readiness, manage closing checklists and critical dates, and support transaction approvals and entity formation. You will work closely with business teams, provide regular status updates to leadership, and travel between job sites as required. You must be insurable under the company's vehicle insurance policy when duties require travel or operation of a company vehicle.

Requirements

  • J.D. from an accredited law school
  • Active bar membership in at least one U.S. jurisdiction (Utah or Nevada preferred but not required)
  • 3–5 years of substantive commercial real estate experience in a title company, law firm, in-house legal department, or real estate development company
  • Strong experience with acquisitions, title and survey review, land development, permitting, and negotiating real estate contracts
  • Familiarity with energy infrastructure, data centers, utilities, or industrial development is a plus
  • Strong project-management skills with the ability to manage multiple transactions and deadlines independently
  • Excellent drafting, communication, and negotiation skills
  • Business-oriented mindset and practical problem-solving approach
  • Ability to thrive in a fast-moving, collaborative, and entrepreneurial environment
  • Ability to be insurable under the company's vehicle insurance policy for travel between job sites

Responsibilities

  • Draft, review, and negotiate purchase and sale agreements, ground leases, option agreements, easements, rights-of-way, utility agreements, and development-related contracts
  • Manage real estate due diligence for acquisitions and development projects, including title and survey review, environmental reports, geotech, zoning, and land-use constraints
  • Support project teams in zoning, permitting, and entitlement strategies in coordination with outside land-use counsel, consultants, and local authorities
  • Advise internal stakeholders on property rights, land development risks, permitting pathways, utility access, and site-readiness considerations
  • Oversee and direct outside counsel on real estate and land-use matters as needed
  • Partner with internal teams to structure and execute transactions and ensure alignment with company objectives
  • Support project timelines, closing checklists, critical date tracking, and closing processes for real estate transactions
  • Assist with corporate governance documents and entity formation for property holdings and coordinate with finance for transaction approvals
  • Contribute to template development, process improvements, and scaling legal workflows
  • Ensure compliance with applicable federal, state, and local land-use laws, environmental requirements, and company policies
