Corporate Paralegal and Legal Operations Manager
About the Role
You will build and maintain legal operations systems and processes from day one. You will organize corporate records, maintain capitalization and option records, and coordinate due diligence and filings for transactions. You will prepare board and shareholder meeting materials, take minutes, and manage corporate governance tasks. You will design intake processes, implement document management and legal technology, develop metrics and reporting, and create templates, playbooks, and self-service resources. You will collaborate with other departments, work with external parties across jurisdictions, and prioritize tasks to meet deadlines while handling confidential matters with discretion.
Requirements
- BA/BS with a paralegal certificate from an accredited institution
- 5–10 years of experience as a corporate paralegal with increasing responsibilities
- Experience in a corporate legal department or law firm and familiarity with corporate secretarial requirements and public company filings
- Strong understanding of securities laws and regulations
- Experience building or significantly improving legal processes and workflows and demonstrated project management skills
- Proficiency in legal research databases legal platforms and corporate record-keeping software
- Expertise in Microsoft Office Suite
- Excellent written and verbal communication skills
- Experience working with senior executives
- High ethics integrity and discretion in handling confidential matters
- Excellent organizational skills and superior attention to detail
- Ability to work independently prioritize and meet deadlines in a fast-paced environment
- Team player who is results-oriented self-motivated with a strong customer service attitude
Responsibilities
- Organize corporate records and coordinate due diligence for transactions
- Maintain capitalization tables and option records
- Prepare agendas papers and take minutes for board and shareholder meetings
- Prepare and file corporate documents such as articles bylaws and minutes
- Liaise with internal and external parties across jurisdictions for subsidiary governance
- Build legal operations infrastructure from scratch
- Create legal intake processes
- Develop metrics and reporting to track legal performance and workload
- Implement operational and technology strategies to enhance legal performance
- Lead document management including organization of shared folders and management of standard contracts and playbooks
- Create and update policies templates and self-service resources
- Improve cross-functional processes and efficiency
