Commercial Counsel

About the Role

You will own and drive all contract-related legal matters, drafting, reviewing, and negotiating commercial agreements and NDAs with clients, partners, and vendors. You will build scalable templates and contract processes, support deal flow by working with sales and product, conduct vendor due diligence including KYB, advise on compliance with data protection, financial and crypto regulations, and coordinate with external counsel when needed.

Requirements

  • 5+ years experience in commercial or contracts law, preferably in-house
  • Admitted to practice law in France, EU, or US (multi-jurisdictional expertise a plus)
  • Strong track record drafting and negotiating complex B2B commercial agreements
  • Familiarity with SaaS, fintech, or blockchain contracts preferred
  • Excellent communication and stakeholder management skills
  • Pragmatic mindset with ability to balance speed, risk, and business priorities
  • Fluent in English; French is a plus

Responsibilities

  • Draft, review, and negotiate commercial contracts including SaaS agreements, NDAs, MSAs, DPAs, partnership and vendor contracts
  • Support sales and product teams to enable deal flow and business growth
  • Oversee vendor onboarding legal aspects, including conducting Know Your Business and due diligence checks
  • Develop and maintain playbooks, templates, and scalable contract processes
  • Advise stakeholders on contract risks, obligations, and compliance
  • Ensure alignment with data protection, financial, and crypto regulatory frameworks
  • Collaborate with external counsel and manage legal workflows efficiently
